國家管網公司成立后,省級管網公司將何去何從?

隨著《石油天然氣(qi)管(guan)網(wang)(wang)運營(ying)機制改革(ge)實施意見》的(de)正式(shi)印發,標(biao)志著我國(guo)油氣(qi)管(guan)網(wang)(wang)改革(ge)正式(shi)進入實操執行階段,國(guo)家油氣(qi)管(guan)網(wang)(wang)公司(簡稱“國(guo)家管(guan)網(wang)(wang)公司”)也將(jiang)應運而(er)生。而(er)國(guo)家管(guan)網(wang)(wang)公司成立后實際運營(ying)中面臨的(de)一(yi)大(da)挑戰(zhan),就(jiu)是(shi)如何處理(li)與省(sheng)級(ji)管(guan)網(wang)(wang)公司關(guan)系。未(wei)來省(sheng)級(ji)管(guan)網(wang)(wang)公司將(jiang)會何去何從(cong),也是(shi)業界比較(jiao)關(guan)系的(de)話題,對此,筆(bi)者(zhe)談下自(zi)己個人的(de)觀點與判(pan)斷。


目前,對于省(sheng)(sheng)(sheng)(sheng)級(ji)管(guan)(guan)(guan)網公(gong)司(si)(si)的(de)定義還沒有統一的(de)認識和(he)規(gui)(gui)范(fan),一般認為省(sheng)(sheng)(sheng)(sheng)級(ji)管(guan)(guan)(guan)網公(gong)司(si)(si)是地方(fang)(fang)國(guo)有企業代表地方(fang)(fang)政府控股的(de)省(sheng)(sheng)(sheng)(sheng)級(ji)管(guan)(guan)(guan)道(dao)投資、建設、運營公(gong)司(si)(si)。初步統計,全國(guo)有21個省(sheng)(sheng)(sheng)(sheng)份組(zu)建了30多家(jia)省(sheng)(sheng)(sheng)(sheng)級(ji)天然(ran)氣(qi)管(guan)(guan)(guan)網公(gong)司(si)(si),主要職責為統一規(gui)(gui)劃、建設及運營管(guan)(guan)(guan)理省(sheng)(sheng)(sheng)(sheng)內天然(ran)氣(qi)管(guan)(guan)(guan)網及其(qi)他天然(ran)氣(qi)相關(guan)業務(wu)等。這些省(sheng)(sheng)(sheng)(sheng)級(ji)管(guan)(guan)(guan)網公(gong)司(si)(si)中,如果按(an)照“上游供氣(qi)商能否與下(xia)游用戶(hu)直接交(jiao)易(yi)”以及“區域管(guan)(guan)(guan)網建設運營是否為特許經營”的(de)區別來劃分(fen),省(sheng)(sheng)(sheng)(sheng)級(ji)管(guan)(guan)(guan)網公(gong)司(si)(si)具體(ti)運營模式(shi)可大致歸(gui)納為三類(lei)(注:此分(fen)類(lei)參考(kao)中石油規(gui)(gui)劃院段兆芳等人所做的(de)分(fen)類(lei)。)


以浙江為代表的(de)“統(tong)購統(tong)銷(xiao)”模式(shi),這種模式(shi)特點是當地省(sheng)(市)政府授權管(guan)網公司特許經營(ying)當地天然氣(qi)管(guan)網建(jian)設(she)及運營(ying),同(tong)時負責區內氣(qi)源采購、天然氣(qi)下游市場開發及銷(xiao)售,形成(cheng)“多氣(qi)源供應,全省(sheng)一張網”,天然氣(qi)供應商不能與(yu)下游用戶直接交易。


以廣東為代(dai)表的“允許代(dai)輸(shu)”模(mo)式(shi),這種模(mo)式(shi)特(te)點是當地省(sheng)政府授(shou)權管網公司(si)(si)特(te)許經營省(sheng)內(nei)天然氣管網建(jian)設及運營,省(sheng)內(nei)居民(min)和公共服務(wu)用(yong)氣采用(yong)統籌調配模(mo)式(shi),由省(sheng)管網公司(si)(si)統籌采購并(bing)銷售給城(cheng)市燃氣公司(si)(si),省(sheng)內(nei)發電、工業等用(yong)戶可直接(jie)與供氣商(shang)簽訂(ding)合同(tong),由省(sheng)管網公司(si)(si)提供代(dai)輸(shu)服務(wu),收(shou)取管輸(shu)費。


以江(jiang)蘇為代(dai)表(biao)的“開放(fang)型”模(mo)式(shi),這種模(mo)式(shi)特(te)點是上游供(gong)(gong)氣(qi)商(shang)可(ke)直接與下游用戶(包括(kuo)城市燃氣(qi)、終端用戶等)簽訂購(gou)銷(xiao)合同(tong),省內管道建設運營主(zhu)體多元化,可(ke)以由供(gong)(gong)氣(qi)商(shang)、用戶等直接建設,也(ye)可(ke)以通過省管網代(dai)輸。


上述三(san)種(zhong)(zhong)模(mo)式是根據不同省份氣(qi)(qi)源來源情況、市(shi)場消費等(deng)特點組建的,各(ge)有(you)特點和(he)利弊。按照油氣(qi)(qi)體(ti)制(zhi)以及油氣(qi)(qi)管(guan)網(wang)運行機制(zhi)改革意見,國家管(guan)網(wang)公司成立(li)后,省級管(guan)網(wang)公司改革方向將主要有(you)三(san)種(zhong)(zhong)可能:


一(yi)是成(cheng)為(wei)國(guo)家(jia)(jia)管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)控(kong)股的子(zi)公(gong)(gong)司(si)(si)(si)或(huo)參股子(zi)公(gong)(gong)司(si)(si)(si)。目(mu)前現有三大(da)油(you)氣企業(ye)在(zai)10多家(jia)(jia)省級管(guan)網(wang)(wang)持有股份,按照“國(guo)有大(da)型油(you)氣企業(ye)在(zai)省級管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)中(zhong)所持股權,全(quan)部(bu)納入國(guo)家(jia)(jia)管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)”,國(guo)家(jia)(jia)管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)成(cheng)立后,其在(zai)廣東(dong)、浙江省天然氣管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)中(zhong)分(fen)別占有72%、60%的股份,自(zi)然成(cheng)為(wei)第(di)一(yi)大(da)股東(dong),部(bu)分(fen)省級管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)成(cheng)為(wei)國(guo)家(jia)(jia)管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)控(kong)股子(zi)公(gong)(gong)司(si)(si)(si),還有一(yi)部(bu)分(fen)成(cheng)為(wei)國(guo)家(jia)(jia)管(guan)網(wang)(wang)公(gong)(gong)司(si)(si)(si)參股子(zi)公(gong)(gong)司(si)(si)(si),地(di)方政府或(huo)其它投資(zi)者成(cheng)為(wei)第(di)一(yi)大(da)股東(dong)。


省(sheng)級管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)公(gong)司(si)(si)如果(guo)成為國家管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)公(gong)司(si)(si)的(de)(de)控股(gu)子公(gong)司(si)(si),省(sheng)級管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)公(gong)司(si)(si)在(zai)法(fa)律上(shang)獨立于國家管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)公(gong)司(si)(si),并擁(yong)有獨立而完整的(de)(de)公(gong)司(si)(si)管(guan)(guan)(guan)(guan)理(li)組織體(ti)(ti)系,在(zai)經營方面(mian)具有較大的(de)(de)獨立性(xing)和一(yi)定的(de)(de)靈活(huo)性(xing)。同(tong)時(shi),其經營活(huo)動也要受到(dao)國家管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)公(gong)司(si)(si)的(de)(de)間接控制,要服從國家管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)公(gong)司(si)(si)的(de)(de)總體(ti)(ti)戰略(lve)和總體(ti)(ti)利(li)益的(de)(de)需要。具體(ti)(ti)來說,一(yi)是(shi)剝離天然氣銷售業(ye)務,向單純輸(shu)配公(gong)司(si)(si)轉變(bian),向第三(san)方公(gong)平開放;二是(shi)輸(shu)配費(fei)用監(jian)管(guan)(guan)(guan)(guan)由省(sheng)級及以下政府監(jian)管(guan)(guan)(guan)(guan),不同(tong)企業(ye)的(de)(de)運費(fei)率不一(yi)樣;三(san)是(shi)規劃、標準等(deng)要按照國家管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)公(gong)司(si)(si)統(tong)一(yi)制定,省(sheng)內管(guan)(guan)(guan)(guan)網(wang)(wang)(wang)(wang)建設放開,允許多(duo)元參與(yu)。


省(sheng)級(ji)(ji)管網(wang)公(gong)司如果成為國(guo)家(jia)管網(wang)公(gong)司的參股子公(gong)司,其經營以及管理模式(shi)與仍然(ran)單獨(du)存在(zai)的省(sheng)級(ji)(ji)管網(wang)公(gong)司一樣。


二是(shi)(shi)(shi)成(cheng)為國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)省(sheng)(sheng)級分公(gong)(gong)(gong)(gong)司(si)(si)。國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)成(cheng)立(li)后(hou)(hou),從發展趨勢看,很有(you)(you)可能在(zai)各省(sheng)(sheng)成(cheng)立(li)省(sheng)(sheng)級分公(gong)(gong)(gong)(gong)司(si)(si)。按照“鼓勵地方以省(sheng)(sheng)級管(guan)(guan)網(wang)(wang)資(zi)產(chan)入(ru)股國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)”,這(zhe)些省(sheng)(sheng)級管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)并入(ru)到(dao)國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)去后(hou)(hou)就有(you)(you)可能成(cheng)為其省(sheng)(sheng)級分公(gong)(gong)(gong)(gong)司(si)(si)。成(cheng)為國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)省(sheng)(sheng)級分公(gong)(gong)(gong)(gong)司(si)(si)后(hou)(hou),其在(zai)法律上(shang)、經濟上(shang)沒有(you)(you)獨立(li)性,不具(ju)有(you)(you)法人資(zi)格,僅(jin)僅(jin)是(shi)(shi)(shi)國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)的(de)附(fu)屬機(ji)構,在(zai)業務(wu)、資(zi)金(jin)、人事等(deng)方面(mian)受國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)管(guan)(guan)轄。具(ju)體來(lai)說,一是(shi)(shi)(shi)只提供輸氣服務(wu),不能買賣氣,向第(di)三(san)方公(gong)(gong)(gong)(gong)平開放;二是(shi)(shi)(shi)運費率(lv)由整個國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)統一決定,由中央政(zheng)府(fu)監管(guan)(guan);三(san)是(shi)(shi)(shi)規(gui)劃、標準(zhun)等(deng)由國(guo)(guo)家(jia)(jia)管(guan)(guan)網(wang)(wang)公(gong)(gong)(gong)(gong)司(si)(si)制定。


三(san)是(shi)仍(reng)然單(dan)(dan)(dan)獨(du)存在(zai)(zai)。對(dui)于那些沒有成(cheng)為(wei)由(you)國(guo)(guo)家(jia)管(guan)網(wang)公(gong)(gong)(gong)司(si)(si)(si)控(kong)股(gu)(gu)(gu)、參股(gu)(gu)(gu)或(huo)成(cheng)為(wei)其(qi)分公(gong)(gong)(gong)司(si)(si)(si)的(de)省級(ji)管(guan)網(wang)公(gong)(gong)(gong)司(si)(si)(si)來說,仍(reng)然可以(yi)單(dan)(dan)(dan)獨(du)存在(zai)(zai)。其(qi)經(jing)營(ying)模(mo)式也得與國(guo)(guo)家(jia)管(guan)網(wang)公(gong)(gong)(gong)司(si)(si)(si)控(kong)股(gu)(gu)(gu)子(zi)公(gong)(gong)(gong)司(si)(si)(si)模(mo)式相類似(si),即:一(yi)是(shi)剝離天(tian)然氣(qi)銷售業(ye)務,向單(dan)(dan)(dan)純輸配(pei)公(gong)(gong)(gong)司(si)(si)(si)轉變,向第三(san)方公(gong)(gong)(gong)平開(kai)放;二是(shi)輸配(pei)費用監(jian)管(guan)由(you)省級(ji)及以(yi)下政府(fu)監(jian)管(guan),不同企業(ye)的(de)運費率不一(yi)樣;三(san)是(shi)規劃(hua)、標準等要按(an)照(zhao)國(guo)(guo)家(jia)管(guan)網(wang)公(gong)(gong)(gong)司(si)(si)(si)統(tong)一(yi)制定,省內(nei)管(guan)網(wang)建設放開(kai),允許(xu)多元參與。只是(shi)經(jing)營(ying)自(zi)主權(quan)大很多。但從未來發(fa)展趨勢看,單(dan)(dan)(dan)獨(du)存在(zai)(zai)的(de)省級(ji)管(guan)網(wang)公(gong)(gong)(gong)司(si)(si)(si)勢必會遭到來自(zi)國(guo)(guo)家(jia)管(guan)網(wang)公(gong)(gong)(gong)司(si)(si)(si)延伸至(zhi)其(qi)運營(ying)區域內(nei)的(de)競爭(zheng)與挑戰。


省級管(guan)網(wang)公司未來上述三種改革模(mo)式(shi)或方向中(zhong),成(cheng)為(wei)國家管(guan)網(wang)公司控股子公司或省級分公司,優點是:有(you)(you)利于(yu)減少中(zhong)間環(huan)節;有(you)(you)利于(yu)形成(cheng)“全國一(yi)張網(wang)”;有(you)(you)利于(yu)統一(yi)規劃、調(diao)度和協(xie)調(diao)。缺點是:來自地方政府的阻力過(guo)大,尤其是成(cheng)為(wei)省級分公司的模(mo)式(shi);而(er)且不利于(yu)發揮地方在促進天然(ran)氣協(xie)調(diao)發展的積極(ji)性。


如果(guo)不(bu)并入到國家管(guan)網公(gong)(gong)司,成(cheng)為參股子公(gong)(gong)司或(huo)者仍(reng)然單(dan)獨存(cun)在(zai)的話(hua),此方案的優點是成(cheng)本低,操作相(xiang)對(dui)容易,也有利(li)于各地方根(gen)據(ju)自己實(shi)際情(qing)況促進天然氣協調(diao)(diao)(diao)發展(zhan)。但缺點是,中間環節沒有減少,也不(bu)利(li)于統一(yi)規劃、調(diao)(diao)(diao)度和協調(diao)(diao)(diao),可(ke)能(neng)遭遇“腸根(gen)阻”,不(bu)能(neng)形成(cheng)“全國一(yi)張網”。


從目(mu)前實際情(qing)況(kuang)以(yi)及改革趨(qu)勢,筆者(zhe)個人判斷,國家(jia)管(guan)(guan)網(wang)(wang)公司成立后,未來能夠真(zhen)正單獨存在的省級管(guan)(guan)網(wang)(wang)公司會很(hen)少(shao),或多或少(shao)地(di)都得與國家(jia)管(guan)(guan)網(wang)(wang)公司沾上關系(xi),很(hen)有可(ke)能按照“全(quan)國一(yi)張網(wang)(wang)”的思路,省級管(guan)(guan)網(wang)(wang)公司將會以(yi)市(shi)場(chang)化方(fang)式融入國家(jia)管(guan)(guan)網(wang)(wang)公司中(zhong)去。至于以(yi)什么樣的市(shi)場(chang)化方(fang)式,則會根據(ju)各地(di)實際情(qing)況(kuang)而有所差別,不宜一(yi)刀(dao)切。
